Agreement to Terms

HC by Design is a trade name of Beacon of Hope, EOL LLC. All references to ‘HC by Design,’ ‘we,’ or ‘our’ refer to Beacon of Hope, EOL LLC. By accessing and using the Beacon of Hope, EOL LLC d/b/a HC by Design website, digital products, and consulting services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use our Services. Your use of our Services indicates your acceptance of these Terms. We reserve the right to modify these Terms at any time, and changes are effective immediately upon posting. Your continued use of our Services constitutes acceptance of modified Terms. All Services are provided by Beacon of Hope, EOL LLC under the trade name HC by Design.

Use License

2.1 Grant of License

Beacon of Hope, EOL LLC d/b/a HC by Design grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our website and digital products for personal or internal business purposes only, in accordance with these Terms. This license does not constitute a transfer of title.

2.2 Permitted Uses

You may use the digital products and website content for your own personal or business use, subject to the restrictions outlined in this agreement. Consulting services are provided to you as professional services for guidance, education, and support and may not be resold, redistributed, or represented as your own professional advice or services.

2.3 Prohibited Uses

You agree NOT to:

· Reproduce, duplicate, copy, sell, trade, resell, or exploit any digital product, consulting materials, or website content

· Share access to digital products, consulting session links, or recordings with unauthorized users or allow others to use your account

· Modify, adapt, translate, or create derivative works based on the digital products or consulting materials without express written permission

· Reverse engineer, decompile, or disassemble the digital products or underlying technology

· Remove, alter, or obscure any copyright, trademark, or proprietary notices

· Use the Services for any unlawful purpose or in violation of any applicable laws

· Engage in harassment, abuse, or harmful conduct toward other users or Beacon of Hope, EOL LLC d/b/a HC by Design personnel

· Transmit viruses, malware, or any code intended to harm or impair functionality

· Attempt to gain unauthorized access to our systems or other users' accounts

· Interfere with the normal operation of our website or Services

· Scrape, crawl, or systematically download content without authorization

· Use automated tools or bots to access our Services without permission

Violation of these prohibitions may result in immediate termination of your access without refund and potential legal action.

3. Digital Products, Packages, and Retainer Consulting

3.1 Product and Service Description

Beacon of Hope, EOL LLC d/b/a HC by Design provides digital products including templates, guides, worksheets, video content, PDFs, audio files, and other downloadable materials ("Digital Products"), as well as consulting packages and retainer-based services ("Consulting Services") as described on our website, sales pages, booking pages, or written proposals. Consulting Services may include strategy, planning, coaching, implementation support, and related advisory work. HC by Design’ refers to the business activities conducted by Beacon of Hope, EOL LLC as a registered DBA.

3.2 Packages (Project-Based Services)

Packages are fixed-scope consulting offers delivered over a defined timeframe, as outlined on the applicable sales or booking page (or written proposal). Each package will specify the included services, number of sessions or calls, communication methods, and key deliverables. Work outside the described scope (including additional sessions, revisions, or implementation tasks) will be billed separately at our then-current rates or require a new agreement.

3.3 Retainer Services

Retainer Services provide you with ongoing access to our time and expertise for a recurring fee over a defined period (for example, month-to-month or a 3–6 month term). A retainer reserves a set amount of availability, which may be expressed as a maximum number of hours, sessions, or tasks per billing period, as specified in your retainer proposal or invoice. Requests that exceed the agreed retainer limits may be declined or billed separately at our then-current rates. Retainer fees are generally paid in advance for each billing period and are non-refundable unless otherwise stated in writing or required by law.

3.4 Scheduling and Use of Time

You are responsible for scheduling sessions and using the time included in your package or retainer within the stated term. Unused time, sessions, or deliverables do not automatically roll over to future periods and may be forfeited at the end of the package or billing term unless otherwise specified in writing. Priority response times or access levels (for example, email response within a set window) may be outlined in the specific package or retainer description and apply only during the active term.

3.5 Rescheduling and Cancellations (Packages and Retainers)

Rescheduling or cancellation of consulting sessions must be requested within the timeframe stated on the booking page or confirmation email (for example, at least 24–48 hours prior to the scheduled session). Late cancellations, repeated rescheduling, or no-shows may result in the session being treated as used and forfeited, with no refund or credit. Early termination of a package or retainer by the client does not entitle you to a refund of fees already paid, except as required by law or expressly agreed in writing.

3.6 Nature of Consulting Services

Consulting Services are intended to provide information, education, and strategic guidance only and do not guarantee any specific outcome or result. You remain solely responsible for implementing any recommendations and for all decisions and actions in your personal life or business. Unless explicitly stated, Consulting Services do not constitute legal, tax, financial, medical, or mental health advice and are not a substitute for licensed professional services.

Refund Policy

4.1 All Sales Are Final

All purchases of Digital Products and Consulting Services are final. We do not offer refunds, exchanges, or returns under any circumstances, except as required by law. This includes missed, unused, or partially used consulting sessions.

4.2 Exceptions

Refunds may be issued at Beacon of Hope, EOL LLC d/b/a HC by Design sole discretion in the following limited circumstances:

· A technical error prevented you from accessing your purchased Digital Product within 48 hours of purchase

· A duplicate purchase was made in error and you request a refund within 7 days of purchase

· The payment was processed due to fraudulent or unauthorized use

4.3 Refund Requests

To request a refund under the limited exceptions above, contact us within 7 days of purchase with documentation supporting your request. We will review and respond within 10 business days. If a refund is approved, it will be processed to your original payment method.

4.4 Non-Refundable Fees

Digital Product and Consulting Services purchases are non-refundable regardless of satisfaction level. We encourage you to carefully review product and service descriptions and ask questions before purchasing or booking. If you have questions about content or scope, contact us before purchasing or scheduling.

Intellectual Property Rights

5.1 Our Intellectual Property

Beacon of Hope, EOL LLC d/b/a HC by Design. All content on the Beacon of Hope, EOL LLC d/b/a HC by Design website, within Digital Products, and provided or displayed as part of Consulting Services, including text, graphics, logos, images, audio, video, software, processes, frameworks, and designs, is the exclusive property of Beacon of Hope, EOL LLC d/b/a HC by Design or its content creators and is protected by copyright, trademark, and other intellectual property laws.

5.2 Limited Use License for Product and Consulting Content

When you purchase a Digital Product or Consulting Service, we grant you a non-exclusive, non-transferable, revocable license to use the content for personal or internal business use in your own projects. You may not:

· Resell, distribute, or share the Digital Product, consulting materials, or session recordings with others

· Claim ownership of or create derivative products intended to compete with Beacon of Hope, EOL LLC d/b/a HC by Design

· Use the content to provide substantially similar services to third parties as a substitute for Beacon of Hope, EOL LLC d/b/a HC by Design

· Incorporate substantial portions into your own products or services without express permission

· Remove copyright or attribution notices

5.3 Your Responsibility

You are responsible for respecting intellectual property rights when using Digital Products and Consulting materials. If content includes third-party materials, you agree to comply with any licensing terms or restrictions specified for those materials.

5.4 Copyright Infringement

If you believe Beacon of Hope, EOL LLC d/b/a HC by Design material infringes your intellectual property rights, contact us immediately with detailed information. If you believe your content has been infringed, we encourage you to report it to us and work toward resolution.

6. User Account and Credentials

6.1 Account Registration

To access certain Digital Products, you may be required to create an account. You agree to provide accurate, complete, and current information during registration and maintain the accuracy of that information.

6.2 Account Security

You are responsible for maintaining the confidentiality of your password and account credentials. You agree not to share your login information with others and are liable for all activities that occur under your account. Notify us immediately if you suspect unauthorized access.

6.3 Account Termination

Beacon of Hope, EOL LLC d/b/a HC by Design reserves the right to suspend or terminate your account and access to Digital Products if you:

· Violate these Terms

· Engage in unauthorized sharing or resale

· Use the account for unlawful purposes

· Fail to pay any fees owed

· Breach the non-transfer or non-sublicense restrictions

Termination may be immediate and without refund.

Payment and Fees

7.1 Pricing

Prices for Digital Products and Consulting Services are as stated on our website, booking pages, or in written proposals at the time of purchase and are subject to change without notice. Price changes do not apply to previously completed transactions.

7.2 Payment Processing

Payments are processed securely through third-party payment processors (Stripe, PayPal, etc.). We do not store full credit card information. By providing payment information, you authorize the payment processor to charge your payment method. All payments are processed on behalf of Beacon of Hope, EOL LLC, the legal entity behind HC by Design.

7.3 Billing Disputes

If you dispute a charge, contact your payment processor directly. You may also contact us for assistance. Disputed transactions must be reported within 60 days of the charge date.

7.4 Taxes

You are responsible for paying any applicable sales tax, VAT, or other taxes on your purchases. Tax obligations vary by location.

Limitations of Liability

8.1 No Guarantees

The Services (including Digital Products, Consulting Services, and the website) are provided "as-is" without warranty of any kind, express or implied. We do not warrant that:

· Digital Products or Consulting Services will meet your specific needs, outcomes, or results

· Content is complete, accurate, or error-free

· Website operations will be uninterrupted or error-free

· Defects will be corrected

8.2 Disclaimer of Damages

To the maximum extent permitted by law, Beacon of Hope, EOL LLC d/b/a HC by Design will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or lost business opportunities, arising from your use of or inability to use the Services, even if advised of the possibility of such damages.

8.3 Liability Cap

Our total liability for any claim arising from these Terms or your use of our Services shall not exceed the total amount you paid for the specific Digital Product or Consulting Service giving rise to the claim.

8.4 Applicable Law

These limitations apply to the maximum extent permitted by law in your jurisdiction. Some jurisdictions do not allow certain liability limitations, so these may not apply to you.

Assumption of Risk

You acknowledge that use of the Services is at your sole risk. You understand and agree that Consulting Services provide education, support, and guidance only and do not constitute legal, financial, medical, mental health, or other licensed professional advice. You remain solely responsible for your decisions and actions. We are not liable for losses, damages, or consequences resulting from your use of the Services or reliance on information contained therein.

Indemnification

You agree to indemnify, defend, and hold harmless Beacon of Hope, EOL LLC d/b/a HC by Design, its owners, managers, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from:

· Your violation of these Terms

· Your use or misuse of the Services

· Your infringement of any intellectual property or other rights

· Content you provide or share

· Your breach of any representation or warranty made in these Terms

This includes, without limitation, claims brought by third parties arising from your business decisions, advertising, or representations made based on Digital Products or Consulting Services.

Termination

Beacon of Hope, EOL LLC d/b/a HC by Design may terminate your access to the Services, including Digital Products and Consulting Services, immediately, without notice or cause, at its sole discretion. Upon termination:

· Your license to use Digital Products and consulting materials terminates

· You must cease all use of the products, consulting frameworks, and proprietary materials immediately

· Your right to download or access content ceases

· No refund will be issued

12. User Conduct

You agree to use the website and Digital Products responsibly and lawfully. You will not:

· Engage in illegal or harmful activities

· Harass, threaten, abuse, or defame other users

· Transmit obscene, offensive, or inappropriate content

· Interfere with network security or attempt unauthorized access

· Violate any laws or regulations

· Engage in fraud or deceptive practices

· Spam or send unsolicited messages

Violation of these conduct standards may result in immediate termination and legal action.

13. Third-Party Links and Services

Our website may contain links to third-party websites and services. We do not endorse or assume responsibility for third-party content, privacy practices, or terms. Your use of third-party services is governed by their terms and conditions. We are not liable for any losses or damages arising from third-party services.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be removed or modified to the minimum extent necessary, and the remaining provisions will remain in full effect.

15.Entire Agreement

These Terms & Conditions and Privacy Policy constitute the entire agreement between you and Beacon of Hope, EOL LLC d/b/a HC by Design regarding your use of our website, Digital Products, and Consulting Services and supersede all prior agreements and understandings relating to the Services.

16. Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of South Dakota, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in South Dakota for any disputes arising from these Terms or your use of our services.

17. Dispute Resolution

Before initiating legal action, we encourage you to contact us to attempt to resolve any disputes amicably. If resolution cannot be reached, disputes will be subject to binding arbitration or litigation as permitted by South Dakota law.

19. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by both parties.
